Massimo Capretta

Principal

Massimo Capretta focuses his practice on US and cross-border financings, securitizations and debt restructurings for both financial institutions and corporate clients. His finance experience includes the negotiation, documentation, syndication and management of working capital loans, private note offerings, leveraged acquisitions, bridge financings, asset-based facilities, mezzanine placements, second and third lien facilities, split-collateral transactions, recapitalization financings, out-of-court restructurings, debtor-in-possession financings, exit financings and loan sales. These engagements have involved a broad range of industries including automotive, chemicals, general manufacturing, energy, international supply chain, consumer products and information technology.

Massimo has advised on various project and infrastructure financings including those involving public-private partnerships. 

Massimo also has advised both originators and funding sources in financing trade receivables, lease receivables, credit card receivables, loans and other asset classes through a wide spectrum of securitization vehicles.

Massimo also has significant experience with general corporate matters such as commercial contracting, mergers and acquisitions, and corporate governance.

Massimo was recognized as a Rising Star in the 2012 edition of Ohio Super Lawyers magazine, a distinction that recognizes lawyers under the age of 40 or those in practice for 10 years or less.

    • Representing the lead agent in connection with a US$500 million syndicated credit facility for a diversified global manufacturing company.
    • Representing the lead agent in connection with a US$350 million secured syndicated credit facility for a Tier 1 automotive supplier.
    • Representing the lead agent in connection with a US$1 billion revolving syndicated credit facility for a publicly traded utility company.
    • Representing an industrial manufacturing company in connection with a US$500 million multicurrency syndicated credit facility.
    • Representing a Canada-based consumer goods group in connection with an aggregate US$280 million leveraged acquisition financing utilizing a “double-dip” transaction structure. 
    • Representing a non-US borrower in connection with a US$40 million equivalent foreign currency financing from a multilateral finance organization for new infrastructure in South Asia.
    • Representing a lead agent in connection with a significant number of senior secured credit facilities ranging in size from US$25 to US$100 million in various private equity led acquisition financings.
    • Representing a super regional US-based bank in connection with the disposition of a pool of almost 200 defaulted commercial and real estate development loans.

    Restructurings and Workouts
    • Representing the lead agent in connection with the restructuring of a US$400 million syndicated secured credit facility primarily secured by a portfolio of hotel and resort properties.
    • Representing a super regional bank in the restructuring and workout of several asset-based and leveraged acquisition financing facilities ranging in size from US$25 to US$100 million.

    Securitizations
    • Representing a US-based diversified company in a US$2.5 billion trade receivables securitization.
    • Representing a US-based specialty chemicals company in a US$200 million trade receivables securitization as part of a multi-tiered US$2 billion acquisition financing package.
