Daniel Roules has more than 20 years of experience in international transactions in Asia, Europe and the United States. Daniel has served as lead counsel on numerous mergers and acquisitions, joint ventures and restructurings in China, Taiwan and Korea. He has also counseled on corporate finance, corporate governance and US Foreign Corrupt Practices Act (FCPA) issues. Prior to moving to Shanghai, Daniel spent four years in the firm’s Beijing office and three years with Squire Sanders in Taipei, where he counseled manufacturing, technology and venture companies on a wide range of matters. During the 1990s, Daniel worked for Squire Sanders in several emerging markets including the Czech Republic, Slovak Republic, Ukraine, Bulgaria, Kazakhstan and Kyrgyzstan advising multinational companies on joint ventures, commercial matters and multilateral financing organizations, and governmental agencies on privatization and foreign investment matters.

Daniel also counsels clients on the full range of construction matters including the formation of engineering and design firms, design-build and construction contracts of all kinds, equipment procurement, site investigation, service and maintenance agreements, and construction site insurance programs. Daniel’s experience includes extensive US mergers and acquisitions work including stock and asset acquisitions and dispositions of all sizes, and working closely with senior management at some of the world’s largest automotive and steel companies.

• Counseling a Japan-based manufacturer on the sale of equity interest in a joint venture in Qingdao, China.
• Counseling a US-based regional airline in all aspects of the first passenger airline joint venture between a US-based and China-based air carrier.
