Yana Dianova’s practice focuses on representing private non-Russia-based and Russia-based companies in connection with investments in the Russian Federation including corporate law matters such as due diligence of complex corporate holding companies, incorporation of legal entities, drafting and negotiating foundation documents, antitrust and corporate compliance. Yana’s experience includes advising on various issues in connection with day-to-day operations of Russia-based legal entities, branches and representative offices of non-Russia-based companies including labor, tax and administrative law.

She has considerable experience in drafting and negotiating various contracts and agreements including construction works, sale and purchase, lease, agency and distribution.

Prior to joining Squire Sanders, Yana worked as a lawyer in the tax and legal department of an international audit and consulting firm, and as in-house counsel of a major Japan-based automotive company.

Representative Experience

• Advising a non-Russia-based group of steel production companies in the acquisition of shares in a Russian OJSC including due diligence and drafting a share purchase agreement.
• Advising a Ukraine-based client in connection with conclusion of an agreement for the construction of a cogeneration plant in the Rostov region.
• Performing due diligence for a group of companies in Russia (FMCG) and subsidiaries of non-Russia-based manufacturing companies.
• Advising a group of leading automotive companies on the legal aspects of schemes of contractual relations.
• Advising a non-Russia-based manufacturing company of medical equipment on legal and tax aspects of import.
• Co-advising a non-Russia-based group of catering companies in connection with and restructuring of their subsidiaries in Russia.
