Todd Gibson focuses his practice on tax-exempt healthcare finance and derivatives. Todd has experience serving as special swap counsel, bond counsel, underwriters’ and borrowers’ counsel. He has extensive experience in negotiating International Swaps and Derivatives Association (ISDA) master agreements and related documentation as well as over-the-counter interest rate, foreign exchange, credit and commodity derivative trade confirmations.
Prior to joining Squire Sanders, Todd was an associate with an international law firm in New York City, where his practice focused on derivatives. Prior to joining that firm, Todd served as vice president of global foreign exchange at Merrill Lynch & Co. His duties included negotiating ISDA master agreements to support foreign exchange and debt derivative trading with dealers, hedge funds and corporations; structuring foreign exchange prime brokerage agreements; and directing credit and product risk management of the New York institutional foreign exchange sales and trading desk.
Todd has addressed numerous groups on swaps, including participating in panel discussions at the National Association of Bond Lawyers’ Bond Attorneys Workshop and the Bond Buyer’s National Municipal Derivatives Conference.
Representative Experience
- Advising healthcare facilities, universities and other nonprofit organizations in respect of tax-exempt financing transactions.
- Advising municipalities and nonprofit entities structure or restructure interest rate hedges tailored to complement tax-exempt debt and negotiating related documentation.
- Advising one of the world’s largest automobile manufacturers in drafting and negotiating new ISDA master agreements to better segregate and manage various market, product and legal risks.
