Thomas E. Gaynor
Thomas Gaynor’s practice includes structuring, negotiating and documenting complex international corporate and finance transactions. In addition to providing general legal and business counsel, Thomas has handled public and private international company mergers and acquisitions, recapitalizations, corporate governance, venture and private equity debt and equity financings, LLC and corporate formations, joint ventures and domestic/offshore investment fund creation.
Thomas has represented clients in various industries including digital media and technology start-ups, tradeshow production and management, manufacturing, entertainment and fashion, financial services, durable consumer goods and retail appliances, electronics products, wireless and remote technology solutions, providers, clean-tech energy and solar companies, foreclosed real estate finance companies, commercial auctions, cross-border finance and various other general business and commercial services.
He represents companies, funds and investors in a broad range of business issues and works with companies from initial start-up stages through various exits, as well as multinational entities for which he provides a broad range of legal services and business strategy advice. His international practice focuses on Australia and Europe generally, and Italy and France specifically, where he has presented at a variety of technology conferences and universities.

Recent transactions include a cross-border financing round for a clean-tech energy storage solutions start-up, the sale of a private geo-location social media start-up as the last private deal to Facebook pre-IPO, and a major licensing deal for a consumer goods company with a national retailer, in addition to numerous financings for a variety of clients.
Thomas brings unique insights to the law as a former marketing director for a major DC-based trade association and a former political fundraiser for a DC-based bipartisan political action committee. He seeks business solutions to suit client needs, but has also guided to successful conclusions several mediation and litigation matters for clients with his team of specialty counsel.
Thomas previously served on the Corporations Committee of the Business Law Section of the State Bar of California. He is also a member of the Association of Corporate Growth in Los Angeles and San Francisco, and was active on the Membership and Program Committees of the San Francisco Chapter. Thomas is a former board member of the Boston College Law School, California Chapter, as well as Boston College’s National Alumni Council.
