Stuart James leads the Birmingham office's technology team. He has more than 20 years' experience advising clients on their core procurement and supply activities, with particular expertise in advising on the procurement and supply of IT systems, together with website and software development, supply, hosting and licensing, software as a service (SAAS), open source, cloud computing, e-commerce and data security matters.

Stuart is a member of the Society for Computers & Law and also works as a supervisor and advisor at the Birmingham Legal Advice Clinic, part of the LawWorks charity group, providing a drop-in centre for free legal advice on simple debt, benefits and consumer issues to people in the West Midlands.

IT Experience

  • Drafting a contract for procurement of SaaS-based IT systems for use in the construction of the extension of Hamad International Airport in Doha.
  • Part of an international team advising a US S&P 400 manufacturer on the renegotiation of its contract for the use of hosted IT systems for the provision of HR services across 33 countries.
  • Advising a FTSE 250 listed distributor of construction products on IT aspects of its acquisition of a manufacturer and distributor of products utilising bespoke developed ERP and web-based design and supply systems, including legal protections for website security, back-up, disaster recovery and code ownership.
  • Advising a FTSE listed company on the negotiation of framework agreements for the purchase of agile software development services for use with its back-office and customer-facing web-based IT systems.
  • Advising an NHS Trust on its contract for the provision of a hosted IT platform for use in delivering a genomics management system to various hubs across the UK.
  • Advising a fast-growing IT infrastructure provider on its contract for the delivery of CISCO-based IT, communications and IoT services to a multinational manufacturing company.
  • Advising a UK retailer on the negotiation of contracts for the acquisition of new automated hosted warehouse management and product ordering and delivery systems, to include deliveries to more than 250 stores.
  • Advising an IT systems provider on its contract to provide the IT platform used to deliver the Sky Tickets transactional website, including drafting and negotiating system availability, web-content acquisition and licensing, customer data use and online sale terms.
  • Advising a UK utility on the acquisition, operation and maintenance of a new IT system to provide business-critical electricity balancing services to the UK electricity grid.
  • Drafting and advising an international consortium of utility providers on the acquisition of new IT systems used in the management of electricity interconnectors between the UK and continental Europe.
  • Advising a leading UK supermarket on the acquisition of a cloud-based financial planning software solution to automate and consolidate financial planning information from across the group.
  • Advising an international consultancy on its contract with the UK government for the delivery of IT systems and services used to deliver more than £200 million of green home grant scheme funding.

Utilities Experience

  • Advising National Grid on a wide range of automatic meter reading projects relating to the preparation for and roll-out of smart meter reading services in the UK gas and electricity sectors, both for industrial and domestic use.
  • Advising E.ON on various metering contracts and on issues relating to the roll-out of smart metering both to its own domestic customers and in its capacity as a supplier of independent meter reading services.
  • Drafting and advising the successful bidder on IT, intellectual property and liability limitation aspects of their contracts for the management and operation of the Sellafield Nuclear Site, including ensuring that key intellectual property of each of the three consortium members backing the bid could be used within the project but without the risk of this being licensed more widely for use elsewhere.

General Commercial Experience

  • Drafting and advising a commercial property developer a long-term contract for the management and operation of a rail freight terminal, including advising on associated connection agreements and contracts with users of the terminal.
  • Advising a regional development agency on the establishment and operation of a £40 million manufacturing technology centre. The work included drafting contracts with the various members/investors that took into account the different interests of each of the parties, particularly in relation to intellectual property, whilst remaining compliant with state aid and competition law.
  • Drafting and advising one of the world’s leading private healthcare providers on their contract with University College Hospital London for the establishment and operation of a joint venture with the NHS trust for the establishment operation of a new specialist cancer treatment unit. The project was the first partnership of its type between the NHS and a private healthcare provider and we have continued to advise our client as the unit has expanded.
  • Advising Valpak, one of the UK’s largest waste recycling schemes on all aspects of the operation of its Waste Electrical & Electronic Equipment take-back scheme, including advising on liabilities of Valpak’s members under the WEEE Regulations.
  • Advising a major retailer on contracts for merchant card services with an annual transaction value of over £500 million as well as advising the retailer on all legal aspects of its gift and insurance card schemes
  • Advising a leading supermarket and a premier league football club on the terms of their online stores and websites including drafting online terms of trade, advising on website compliance issues and on the terms of their website hosting and procurement contracts to fulfil orders accepted on-line and use of mobile sites and app downloads.
