Stefanie Holland focuses her practice on corporate matters with an emphasis on capital markets and securities law, commercial transactions, mergers and acquisitions and project development and finance, as well as on general business matters. In addition to representing clients in a broad range of corporate transactions, Stefanie advises clients on nontransactional matters, including securities laws and listing requirements, compliance and corporate governance practices. Her practice includes representing public and private companies and international and US-based companies in a variety of industries, including water, logistics and transportation, energy, and oil and gas.
Stefanie recently completed a two-year secondment from Squire Sanders’ Cleveland office to the legal division at the worldwide headquarters in Tokyo of a leading Japan-based trading company where she advised on corporate and commercial matters in diverse industries, including energy, gas and petrochemical, transportation infrastructure, marine, automotive, construction machinery, logistics and transportation and environmental related industries.
Prior to practicing law, Stefanie spent 13 years in the import/export, logistics and transportation industry holding positions with several freight forwarders. She served as an import manager and licensed broker and she continues to maintain her US Customs Broker License.
Stefanie was selected for inclusion in the 2011 edition of Ohio Super Lawyers-Rising Stars, a distinction that recognizes the top 2.5 percent of Ohio lawyers 40 years of age and younger or in practice for 10 years or less.
Stefanie is a member of the American Bar Association, Cleveland Metropolitan Bar Association, international law fraternity Delta Theta Phi, international honor society in business and management Beta Gamma Sigma and the American Chamber of Commerce in Japan. She is also the Co-Chair of Membership on the Executive Committee of the Foreign Women Lawyers’ Association – Tokyo.

- Representing a leading Japan-based trading company in all aspects of and negotiations related to the project development of a floating production, storage and offloading (FPSO) vessel offshore of Brazil.
- Advising a leading Japan-based trading company in connection with its formation of several international joint ventures, consortiums and other cooperative arrangements and strategic alliances, and with its development of oil and gas and energy projects.
- Advising a Japan-based company on its investment in a US-based biodiesel venture for a stake of more than 4 percent.
- Advising a non-US-based accredited investor on its investment by private placement in a Nasdaq-listed clean energy holding company, increasing its equity stake to approximately 5 percent.
- Representing a NYSE-listed global specialty chemicals company with its US$3.3 billion acquisition of a NYSE-listed global chemical manufacturing company.
- Advising a privately held pharmacy benefits manager with a US$700 million disposition.
- Representing a Europe-based water and wastewater service company with worldwide operations in its US$150 million initial public offering as a foreign private issuer on the New York Stock Exchange.
- Representing the underwriters of a follow-on public offering by a NYSE-listed global specialty metals company of 5 million shares of common stock.
- Representing commercial banks in connection with secured and unsecured financing transactions including term loans and revolving loans.
- Advising a Europe-based foreign private issuer with regard to its ongoing stock exchange and securities compliance and reporting obligations, annual general meeting materials and various corporate governance and business matters.
- Advising a Japan-based electronics company with regard to securities matters and its annual report filing, as a foreign private issuer, with the Securities and Exchange Commission.
