Squire Sanders advises on Spanish-backed wind farm project in Poland

Squire Sanders’ Warsaw office has closed a major wind farm project deal in Northern Poland, advising Taiga Mistral, a Spanish private equity fund focused on renewable energy. After over 18 months of intensive negotiations, Taiga Mistral has completed the acquisition of a 40MW+ wind farm project in the northern region of Poland. The project, the third to be undertaken by Taiga Mistral in Poland, will be developed in co-operation with a Polish investor. Development costs are expected to amount to €90 million.

The deal involved the sale of the majority interest to Taiga Mistral, leaving the minority interest with the Polish investor. The structure of the deal evolved initially from a simple share sale to a sophisticated sale and joint-venture deal, which required the project team to address a range of legal issues starting from corporate law, through commercial and financial issues to the real estate issues connected with securing the land for the investment. Squire Sanders’ Partner Eligiusz Krześniak from the Warsaw office led the team and was assisted by Chris Watkinson (London) and Marcin Wnukowski (Warsaw).
