Our banking and debt finance practice concentrates on transactional debt financings for our clients. Because of our industry experience we understand the most relevant documentation packages and structures in the current financing market. We realize that each transaction brings with it differing business realities. Our goal is to apply our expertise to render efficient and market-oriented legal services to bring transactions to a successful close while always protecting the interests of our clients. We have a client service model that delivers services in a fully integrated way, bringing together in a single coordinated team banking and debt finance, capital markets, restructuring, intellectual property, real estate, tax and regulatory lawyers. Our integration allows us to provide a true cradle-to-grave capability to service a financing transaction from inception to workout and, in conjunction with our bankruptcy and restructuring practice, to reorganization and secured party dispositions.

We regularly act as counsel for lenders, borrowers and other participants in transactions ranging from secured and unsecured working capital financings to multi-tiered structured facilities.

Syndicated Financings
We have experience in all aspects of syndicated financings including syndicate governance, joint syndicate litigation, market documentation, secondary trading, borrower debt repurchases, and all types of domestic and international financing structures. We represent both borrowers and lenders in syndicated credits of varying complexity including competitive bid facilities, multicurrency and cross-border facilities, and Term B structures. In addition to transactions in the United States, we work on syndicated loan projects throughout North America, Latin America, Europe and Asia. We thoroughly understand the syndication process and the particulars of agent responsibilities. Likewise, we regularly counsel global financial institutions on the syndication process in the United States and participating in the US banking market.

Leveraged Financings
We are known and respected for our creative and proactive approach to complex leveraged financing transactions. Our expertise is focused on maintaining in-depth knowledge of current market structures and structuring techniques for leveraged transactions including complex security packages consisting of domestic and international collateral; first/second lien structures; leveraged recapitalizations; senior and subordinated loan facilities; debtor-in-possession and exit financings; revolver/term split collateral pools; and bank/bond financing structures.

Acquisition Financings
We understand the documentation and transactional issues facing banks and other institutional lenders and borrowers in acquisition financings involving senior secured syndicated financings, mezzanine financings, refinancings, recapitalizations and converted exit facilities. We have represented agents and syndicates in complex acquisition financings including multi-jurisdictional and cross-border transactions, complex collateral packages, alternative cash management requirements and hedge bank relationships. We understand the special dynamics and issues arising in the context of financings for sponsor relationships and the correct documentation for such transactions.

Asset-Based Financings
We have been advising lenders and borrowers in asset-based loan transactions for more than 30 years. We represent a number of asset-based lenders providing financing for leveraged buyouts, recapitalizations and working capital needs. We assist in the creation and perfection of liens on, and security interests in, various types of domestic and international collateral, both real and personal, and structuring issues associated with this type of lending activity, including full cash dominion arrangements, syndicate settlement procedures and structuring transactions with associated term and subordinate lenders.

Private Note Placements
We have represented private placement noteholder groups as well as issuers in numerous transactions. We also regularly represent distressed debt purchasers in workouts and insolvencies on private note placements. We understand the fundamental differences between private notes and public bonds, including the different covenant structures, indemnities and investment objectives of the purchasers of private notes.
