Robert Eastwood brings significant international experience and strong transactional capabilities to the corporate team, having worked for global law firms in London and Riyadh.
Robert's practice spans domestic corporate advisory matters, cross-boarder acquisitions and joint ventures, with a particular focus on domestic and international securities transactions acting for issuers, managers and underwriters.
He also has experience in the mining sector having previously worked with a Perth boutique corporate law firm focusing on acquisitions, capital raisings and Listing Rules and Corporations Act compliance advice for mining companies. In 2008 he represented Saudi Arabian Mining Company (Ma’aden), the state-owned Saudi mining company, on its initial public offering of shares to raise US$2.46 billion.
During his time in London, Robert specialised in equity capital markets. Acting on a number of international IPOs with listings on various international exchanges including the London, Egyptian and Saudi Stock Exchanges, he was able to leverage his innate understanding of the listing process gained during his time with the ASX where he commenced his career.
In 2006 Robert was part of a team that acted for Macquarie Bank in relation to its £1.5 billion unilateral takeover offer for the London Stock Exchange.
While in Riyadh, Robert played a significant role in developing the capabilities of the capital market's practice and extended his transactional experience in the Middle East acting on transactions in Qatar, Oman, Syria, Egypt and Saudi Arabia including in relation to a joint venture between Almarai, the Gulf’s largest dairy company, and leading US-based baby formula producer Mead Johnson.
Robert is a member of The Law Society Western Australia.
Robert is a frequent speaker on the topics of IPOs and mergers and acquisitions.
Representative Experience
Saudi Arabia
- Acting for Almarai Company, the Gulf’s largest dairy company, on its joint venture with leading US-based baby formula producer Mead Johnson to manufacturer baby food products in the Gulf region.
London
- Representing the issuer, an Egypt-based real estate developer of resort properties, entertainment malls and restaurants on its US$200 million initial public offering and listing on the Egyptian Stock Exchange.
- Representing the issuer, a Qatari Islamic investment bank, on a private placement of shares raising proceeds of US$500 million.
- Representing the issuer, the state-owned Saudi Arabia mining company, on its initial public offering of shares to raise US$2.46 billion and its subsequent listing on the Saudi Stock Exchange.
- Acting for MOL Hungarian Oil and Gas Public Limited Company (MOL) on its US$1.276 billion share swap under which listed shares in MOL were exchanged with Oman Oil Company in return for a package of international assets.
- Acting for Macquarie Bank on its unilateral takeover offer for the London Stock Exchange.
