Peter Morley advises on a wide range of taxation issues relating to both UK and international businesses. His practice includes extensive experience of advising in relation to M&A transactions, private equity, IPO’s, takeovers and restructurings.
Peter regularly advises on the stamp duty land tax and VAT implications of property transactions, including the identification and implementation of tax efficient structures. Peter also advises on the adoption and administration of employee share plans.
Peter is a member of the Chartered Institute of Taxation and qualified as a Chartered Tax Adviser.
Representative Experience
- Acting for UK companies (quoted and unquoted) and individuals on the taxation aspects of corporate acquisitions and disposals including:
o Advising SpiriTel plc on its recommenced takeover by Daisy Group plc
o Advising the shareholders on the disposal of a privately held multinational group.
- Advising both venture capital entities and management on private equity investments including:
o Acting for ECI in the £85m MBO of XLN Telecom
o Acting for Phoenix Private Equity on the £100m MBO of Andrew Page
o Acting for the sellers and management on the £85m MBO of Zenith Provecta
o Acting for Sovereign Capital in the £20m MBO on Christchurch Court
o Advising UK companies on admission to AIM including advising a UK property investment company on a planned IPO and conversion into a REIT.
- Advising tax efficient restructuring of corporate groups.
- Implementation of stamp duty land tax efficient structures for developers, investors and occupiers.
- Acting for companies on the implementation of employee share plans.
