Peter C. Alfano III

Peter Alfano has extensive experience counseling clients on antitrust and national security matters. In the area of national security representations, Peter is a leading practitioner in our International Trade Practice Group focusing on national security investment reviews. In this practice area, Peter is active in representing transacting parties, both US businesses and non-US investors, before the Committee on Foreign Investment in the United States (CFIUS), including negotiating assurance and national security mitigation agreements with CFIUS member agencies. As part of our International Trade Practice Group’s capabilities in representing global national security reviews, Peter often coordinates CFIUS reviews with similar reviews in other jurisdictions, such as reviews in Canada under the Investment Canada Act.
In addition to managing foreign investment reviews, Peter has almost a decade of antitrust experience including substantial merger review representation before US agencies, civil antitrust actions, criminal antitrust investigations and prosecutions, and general antitrust business counseling in areas such as distribution agreements, joint ventures and competitor collaborations. As a corollary to work on global antitrust and national security issues, Peter also counsels domestic and international clients in anticorruption compliance and government investigations involving the Foreign Corrupt Practices Act (FCPA) as part of the firm’s global FCPA team.
Given his trade and antitrust practices, Peter is able to offer clients unique solutions to business compliance goals, such as drafting, implementing, and auditing jurisdiction-specific and global antitrust and trade compliance programs.
Peter is a member of the New York, Massachusetts and District of Columbia Bar Associations and the Antitrust and Health Care Law Sections of the American Bar Association.
- Represent clients in obtaining antitrust clearance under the Hart-Scott-Rodino and Clayton Acts for horizontal and vertical acquisitions in various industries including consumer goods, energy generation and power distribution, investment, telecom and technology sectors.
- Provide representation to leading international companies operating in the automotive parts, air transport, shipping and consumer electronics industries in criminal antitrust investigations by the US Department of Justice and related civil class actions.
- Provide guidance and successfully manage CFIUS notifications for multiple acquisitions in the manufacturing sector on behalf of a Hong Kong-based financial management company with Chinese state ownership.
- Provide counseling and successfully manage multiple voluntary notifications to CFIUS and subsequent investigations, on behalf of a Chinese diversified electronics manufacturer, involving targets in the technology sector.
- Manage the CFIUS process and implications for several global European-based technology businesses in their successful acquisition of US targets with aerospace and defense products.
- Counsel an international pharmaceutical company in multidistrict litigation relating to claims asserted based on the Supreme Court’s holding in FTC v. Actavis.
- Provide antitrust counseling for a technology company in establishing price information exchange platforms for various industries.
- Counsel a US municipality on the application of the antitrust state action doctrine to a proposed business acquisition.
- Counsel international energy company on the FCPA implications of its work in foreign countries.
