Patrick Brooks focuses his practice on cross-border transactions with a concentration on mergers and acquisitions, private equity and corporate finance in Russia. He also serves on Squire Sanders life science team advising pharmaceutical and other industry players on regulations impacting their business operations in Russia. Patrick also has extensive experience in corporate restructuring and US bankruptcy matters.

Patrick’s experience includes providing strategic counsel to clients in connection with the planning and establishment of private equity funds and successfully acquiring and exiting investments. He has advised clients in connection with transactions in the life sciences, retail, agriculture, heavy industry, hospitality, real estate development and financial services sectors. Patrick also has years of experience in advising distressed businesses in restructuring their balance sheets both in and out of bankruptcy and creditors seeking to recover from distressed businesses, particularly in the steel, automotive, energy and chemical sectors.

Private Equity and Mergers & Acquisitions

• Representing the EBRD in connection with investment in financial service sector.
• Advising one of Russia’s most prominent investment banking firms in connection with investments in more than US$1 billion in steel manufacturing assets in the Ukraine and Russia.
• Representing the sellers of one of Russia‘s most popular dried fish snack businesses to a strategic buyer.
• Advising one of Russia’s most prominent investment banking firms in connection with the establishment of several offshore investment funds and the structuring and execution of hundreds of millions of dollars of investments by those funds in the financial and retail sectors of Russia.
• Representing Investtorgbank with a US$200 million equity investment by two US-based private equity firms in the charter capital of the bank.
• Representing a US-based investor in a US$143 million divestiture of one of the largest poultry production and processing operations in Russia.
• Representing a Russia-based hotelier in connection with the sale of 50 percent of its equity to a strategic investor.   

Life Sciences

• Regularly advising multinational pharmaceutical companies in connection with conducting clinical trials in the Russian Federation and other regulations relevant to their operations and localization efforts.
  

Restructuring and Advocacy

• Serving as the lead associate for the Official Committee of Unsecured Creditors of Enron Corp. in avoidance litigation challenging highly complex financing structures involving Enron and one of its tier-one banks that resulted in a US$1.4 billion settlement, which substantially increased recovery of Enron’s unsecured creditors.
• Advising one of the largest steel companies in the United States in connection with numerous acquisitions of steel facilities from the bankruptcy estates of LTV Steel Corp., Bethlehem Steel Corp. and Weirton Steel Corp including developing and implementing a plan to leverage claims against certain creditors to facilitate the expedited conclusion of an acquisition on particularly favorable terms.
• Seconding to one of the top 10 banks by assets in the United States in connection with the restructuring internal processes of its workout department.
• Guiding EaglePicher Holdings Inc. and its subsidiaries during their bankruptcy proceedings, including negotiation and maintenance of DIP financing and restructuring of their environmental liabilities.
