Mary Ann Jorgenson focuses her practice on the representation of public and private companies in securities matters, corporate governance, mergers and acquisitions, tender offers and other contests for corporate control. She has particular experience in corporate growth strategies, representing local and global corporations in large transactions. Ms. Jorgenson’s corporate experience is complemented by her active service as both counsel to boards of large and growing businesses and as a director or secretary of several public and private companies and charitable organizations.

Ms. Jorgenson has significant international experience, both in large privatization transactions and in international transactions for domestic corporate clients. Most recently she has advised a US-based specialty chemical company in its acquisition of US$600 million of assets from a Germany-based conglomerate and advised the independent directors of Russia’s Yukos Oil on international corporate governance issues.
In 2009, Ms. Jorgenson was the recipient of the Jean Allard Glass Cutter Award by the American Bar Association for her accomplishments and leadership in creating opportunities for women. Ms. Jorgenson has served on the firm’s management committee and as the firmwide business practice coordinator. She is also immediate past chair of the Committee on Corporate Laws of the American Bar Association (ABA) and was an adviser to the ABA’s Task Force on Corporate Responsibility 2002-2003. She has also chaired the Corporation Law Committee of the Ohio State Bar Association and the Securities Law Section and the Securities Law Institute of the Cleveland Metropolitan Bar Association. She is a frequent speaker at national securities law and corporate governance seminars and conferences. In 2007, Ms. Jorgenson served as the program chair of the first DirectWomen Board Institute, a national initiative of the ABA Section of Business Law and Catalyst, Inc., to identify and prepare women lawyers for service as independent directors of public companies. She is the current chair of DirectWomen and was also recently inducted into the Ohio Women’s Hall of Fame.
