Marianne Rosenberg’s practice focuses on cross-border and complex finance transactions in equipment and facility financing, project and structured finance, banking, acquisitions and derivatives. Marianne has extensive experience in the energy, rail, transportation and aviation sectors.
In 2002 AirFinance Journal named Marianne as one of the 50 industry “market shapers” in the 22-year history of AirFinance Journal, one of only four lawyers worldwide to be named.
Representative Experience
- Advising Société Nationale des Chemins de fer Français in the restructuring of Eurostar from an unincorporated joint venture into a stand-alone entity including advice on the subleasing of trains already subject to finance leases.
- Representing Orhan Holding A.S. in the stock and asset acquisition of a hose and tubing manufacturing business operating in six countries, while the seller, Dana Corporation, was in bankruptcy.
- Representing a state-owned railway company in a series of transactions over the last 18 years for high-speed trains, rail cars and high-technology equipment, including amendments, restructurings and terminations.
- Representing one of the largest US-based auto dealers in connection with a multi-line financing of US$1 billion involving complex intercreditor issues.
- Representing a consortium of water authorities in the US$1.3 billion financing of water treatment facilities in the North of the Netherlands.
- Representing a Netherlands-based waste-to-energy facility in a complex financing of municipality-guaranteed, multiple currency of approximately US$600 million and its subsequent construction of additional units.
- Representing a consortium of Netherlands-based electric and gas producers and distributors in connection with a series of transactions for more than US$3 billion of assets.
- Representing bank lenders and institutional lenders with numerous US-based energy and project finance transactions, including a large variety of alternative energy projects such as biomass, methane and waste-to-energy.
- Representing leading lenders in the airfinance industry in connection with cross-border financing of aircraft.
- Representing aircraft and engine manufacturers with sales contracts with US-based carriers as well as credit support through manufacturers’ guaranties and remarketing arrangements.
- Representing the arranger in structuring a proposed lease financing for buses in Ghana.
- Representing a leading stock broker and investment bank in restructuring its portfolio of 87 loans in connection with cross-border leases of facilities and equipment including various deposit and payment undertaking arrangements.
- Advising on interest rate, currency, caps, collars, repos, and credit default swaps and other types of hedging arrangements.
- Representing a startup company with its development of a worldwide sports and training information center.
