Lauren Priest-Stephens

Senior Associate

Lauren Priest-Stephens focuses her practice on asset-based lending, banking and debt finance matters. Her experience includes financing transactions from the negotiation of term sheets and the structuring of a transaction to the completion of financing documents. Lauren is familiar with the negotiation and drafting of documents for complex cross-border transactions and has extensive experience representing all parties in a financing including lenders, borrowers and syndicate members. Following the completion of transactions, she often undertakes ongoing portfolio support work, including the review and drafting of syndication documentation, and has experience with the termination of transactions, through refinancings and restructurings.

Representative Experience

    • Acting as lead counsel in the stabilization of a major financial institution’s portfolio including providing daily legal support to the operations team and account managers.
    • Acting as counsel to a bank in the refinancing of a £12 million facility including the negotiation of deferred payment agreements and intercreditor arrangements with the incoming lenders.
    • Leading the financial services team acting for a syndicate of banks in relation to a JD110,000,000 project financing of a shopping centre in the Middle East.
    • Acting for a pan-European telecom company in connection with a €200,000,000 syndicated financing.
    • Leading a team of advisors to a bank in multiple jurisdictions in two related cross-border transactions valued at £45 million and £8 million and acting as main legal advisor to the bank on ongoing financial queries and portfolio matters.
    • Advising the provider of £27.6 million asset-based facilities for a cross-border group in England, France and Italy.
    • Acting for a large UK corporate client in connection with the refinancing of its asset‑based facilities including a senior loan facility and a confidential invoice discounting facility.
    • Advising lenders and borrowers in connection with restructurings and insolvency proceedings in England, Australia, Germany, Norway and France.
