Jan Sudmeyer Partner

As a member of Squire Sanders’ corporate finance and corporate transactions and securities regulation practice groups, Jan Sudmeyer advises on all aspects of corporate and capital markets law including the German Stock Corporation Act, Stock Prospectus Act, Takeover Act and Securities Trading Act. He focuses on transactional work such as mergers and acquisitions, tender offers and equities offerings, and the ever-increasing importance of good corporate governance. His clients are German-listed companies as well as international groups of companies.

Jan is the co-author of handbooks on stock corporations (public offerings) and capital markets compliance and the author of related articles.

Representative Experience

• Advising a major Germany-listed company on its capital increase, private placement of new shares (including US Rule 144A placement) and subsequent admission of new shares to trading on two German stock exchanges.
• Advising a major Germany-listed company on its voluntary purchase offer for shares in another Germany-listed company (including US 14d-1 SEA 1934 offer) and subsequent integration of the target.
• Advising the UK-based real estate team of a US investment bank on the acquisition and financing of a German property through several special purpose entities by a buyer in Iceland.
• Advising a tooling company on its auction bid for a multinational group of companies from a global seller, due diligence of the target and negotiations until the final stage.
• Advising a German trading company and its sole shareholder on the restructuring of their respective borrowings by issuing profit participation rights and a convertible bond, respectively, and the private placement of these instruments.
• Advising major shareholders of a large Germany-listed company on a series of derivative based share transactions under ISDA Equity Derivatives Definitions and German Master Agreement.
