Jeffrey Mullens has 35 years of involvement in corporate, securities and contract matters for public and privately held organizations. He has extensive experience representing companies in the energy sector, particularly electric and gas.

Jeffrey’s securities experience includes the representation of issuers in public and private offerings of debt and equity securities. He also counsels both public and nonpublic corporate clients on a range of nontransactional issues including corporate governance, executive compensation and regulatory compliance. In addition, Jeffrey has broad experience in sophisticated contract work, notably in power plant construction and uranium, gas and fuel oil negotiations for the utility sector.

His mergers and acquisitions experience includes the representation of both publicly and privately held purchasers and sellers in domestic and international transactions, with a particular emphasis on energy sector deals.

Representative Experience

• Acting as issuer’s counsel in the public issuance of US$500 million of first mortgage bonds by a public company.
• Acting as issuer’s counsel in the public issuance of US$375 million of junior subordinated debentures by a public company.
• Acting as issuer’s counsel in the public issuance of US$500 million of debentures by a public company.
• Advising investors in a privately held corporation in connection with a shareholder dispute.
• Counseling a public company in the energy sector in connection with the acquisition of a coal-fired power plant unit.
• Representing a public company in the negotiation of the first joint venture for the ownership of a generating plant between an investor-owned utility and a municipal electric utility.
