Jennifer I. Henkel

Associate

Jennifer Henkel’s practice focuses on corporate matters including mergers and acquisitions, federal and state securities law compliance, capital markets and commercial finance transactions, and corporate governance issues for publicly and privately held companies.

While attending law school, Jennifer worked as a summer associate for one of the largest law firms in Cincinnati. Additionally, she served as an extern for the city of Cincinnati Prosecutor’s office where she worked on appellate briefs to Ohio Courts of Appeals.

Jennifer is a member of the Cincinnati Bar Association.

Representative Experience

    • Representing a publicly held company on its US$124 million acquisition of a manufacturer of permanent magnets and precision magnetic assemblies with facilities in China, Switzerland, UK and US.
    • Advising on the US$295 million divestiture of a leading personnel services business in the Midwest.
    • Representing a publicly traded business development company on its US$33 million senior notes offering.
    • Advising NYSE- and Nasdaq-listed public company clients in connection with Exchange Act reports (including annual reports on Form 10-K, quarterly reports on Form 10-Q and periodic reports on Form 8-K), proxy solicitations, annual meeting matters, insider reporting obligations and SEC comment letter responses.
    • Providing counsel to public company clients and a business development company client in connection with registration statements on Forms S-3 and N-2, respectively.
    • Advising leading financial institutions in structuring and commencing medium-term note programs and representing the clients in connection with the public offering of debt securities under such programs.
    • Representing the underwriters in connection with the public offering of US$50 million of common stock by a regional bank.
    • Advising a publicly traded investment firm in private placement of its common stock.
    • Representing a publicly traded investment firm in its US$91 million purchase of a consumer goods business.
    • Counseling a public company in connection with the adoption of employee benefit plans, including advising on public disclosure and SEC registration issues.
    • Providing counsel to the board of directors of a 501(c)(3) nonprofit real estate redevelopment corporation with respect to corporate governance matters.
