Jana Pagáčová focuses her practice primarily on mergers and acquisitions, corporate, financial services, energy and regulatory and intellectual property matters. She advises both national and international clients on acquisitions, sales, mergers and divestitures involving businesses in the Slovak Republic.
Jana advises on privatizing state-owned companies, cross-border mergers under the relevant EU Directive and equity investments by venture capital funds in the Slovak Republic. She has also managed numerous due diligence projects involving various industries.
Jana also has substantial experience in advising companies in the energy industry on various topics including managing the unbundling of power supply and power distribution activities. She has also advised both Slovak and non-Slovak clients on various general corporate, commercial and real estate projects.
Jana’s significant intellectual property expertise includes representing clients in proceedings before the Industrial Property Office of the Slovak Republic involving registration of industrial property rights and advising on franchise license agreements.
Prior to joining Squire Sanders in 2000 as an associate, she served as an in-house counsel of the Czech and Slovak American Enterprise Fund in the Slovak Republic. After five years with Squire Sanders she moved to another law firm where she led the corporate and M&A practice group and the corporate and transaction working group. She rejoined the Bratislava office of Squire Sanders as a partner in January 2012.
Jana's publications include an article titled “Mergers of Companies” published in
The Slovak Spectator: Investment Advisory Guide 2011/2012; the article “Impacts of the United States’ Accession to the Madrid System of International Trademark Registration,” which appeared in
Intellectual Property magazine published by the Industrial Property Office of the Slovak Republic; and the article “Protection and Enforcement of Five Essential IPRs Q&A” published in
Intellectual Property magazine.
Jana is a member of the Slovak Bar Association. She is also a member of the Managing Board of the Central European Corporate Governance Association (CECGA) and a member of the Energy Committee of the American Chamber of Commerce in the Slovak Republic.
Representative Experience
- Advising a major steel mill company in the Slovak Republic on restructuring and its sale to a foreign US strategic investor, including advising on contribution of assets to a joint venture company and preparation of share transfer agreements.
- Advising a major paper mill company, including the preparation of corporate documents, on the sale of part of its shares to a foreign strategic investor and arrangement of several splits of Slovak investor holding companies.
- Advising an insurance company in the Slovak Republic (co-owned by several financial institutions) on the co-sale of all shares to buyers belonging to an insurance group in Austria, including organization of vendors' due diligence, preparation and negotiation of a share purchase agreement.
- Advising a major hypermarket chain in preparing documentation and negotiations with developers and land owners for acquisition of several land sites for constructing hypermarkets.
- Advising on the transformation and subsequent merger of companies being part of a holding group of a major Slovak Republic-based glass fiber producer after its acquisition by a strategic US investor, including project management and preparation of relevant corporate documents.
