James Graham-Brown

Associate

James Graham-Brown advises on the tax aspects of corporate and property acquisitions and disposals.  James also regularly advises on stamp duty land tax, compliance and planning opportunities, VAT and stamp duty issues arising in the context of corporate transactions.  James also assists clients with setting up and maintaining share plans and regularly assists with merger and acquisition transactions. 

James is a member of the Chartered Institute of Taxation.  James is also a member of both Harborne Hockey Club and the Birmingham Rowheath Athletics and Triathlon Club and participates in the "Right to Read" scheme.

Representative Experience

    • Advising a Danish healthcare company on the tax implications of setting up business in the UK.
    • Advising Doppelmayr Seilbahnen GmbH, a worldwide provider of ropeway engineering services, on the UK tax aspects of its involvement in the construction of the London Cable Car, including in relation to the CIS and VAT implications of its UK operations
    • Advising an AIM-listed distributor of computer hardware and software (Fayrewood plc) on the sale of its trading subsidiaries.
    • Advising a Spanish theme park operator on the tax treatment of the liquidation of its UK tax resident Panamanian subsidiary.
    • Acting for Kelly Services on the disposal of a number of its commercial staffing branches in England.
    • Advising two private UK healthcare businesses on their acquisitions of UK medical private practices.
    • Advising a UK private equity house (Gresham LLP) on the management buy-out of an international telecommunications provider from a UK listed company (Spice plc).
    • Advising a UK private healthcare provider on the VAT treatment of outsourced medical staff.
    • Acting for the management of a UK provider of environmental compliance and consultancy, recycling solutions and carbon services, on a complex quasi-management buy-out, which included a combined tax-efficient investment, scheme of reconstruction and scheme of arrangement.
    • Acting for Advantage West Midlands (and other RDAs) on the VAT and SDLT issues of its real estate transactions and the reorganisation of its real estate holdings, including advice on a long-term funding agreement with Birmingham City Council.
    • Acting for the trustee of the a defined benefit pension fund on the taxation of lump sum back payments of pension to members who had been underpaid for a number of years.
    • Acting for a corporate finance house on the tax aspects of syndicated Business Premises Renovation Allowances transactions.
    • Acting for the shareholders of a family-owned group on the tax aspects of the disposal of a property investment group and the tax-efficient extraction of a number of individual properties.
    • Acting for the management team and employee option holders of Zeus Technology Limited on the share incentive aspects of the US $130 million acquisition of the company by Riverbed Technology, Inc.
    • Advising Colmore Business District on its funding agreement with Birmingham City Council for the improvement of the business district of Birmingham.
    • Advising the target companies on the share schemes aspects of the takeovers of BSS plc, Rensburg Sheppards plc, Care UK plc, Fountains plc and Clarity Commerce Solutions plc.
