Recently, he has spent time advising a number of the world's largest companies (including AIG, BP, QBE and RBS) on a number of significant, high profile and complex outsourcing transactions.

Representative Experience

• Leading a team of 20 lawyers advising one of the oil majors on its second generation global HR outsourcing deal. This was a significant strategic transformation outsourcing that was driven at board level with a demanding timetable that Garfield and his team delivered to. The size, value and the long term nature of the services provided made this a particularly challenging project. The project comprised of the following elements:
  • negotiating interim and final, design and build agreements for process design, operational management and business process outsourcing in the UK and the US;
  • negotiating interim and final design, build and applications management agreements, for functional specification design, system Implementation and Applications Management in the UK and the US;
  • negotiating a global agreement for the outsourcing of payroll to a provider in the UK and the US;
  • negotiating revisions to existing outsourcing agreements with the incumbent service provider in the UK and the US;
  • negotiating a final operational management and business process outsourcing agreement with the new service provider in the UK and the US;
  • advising on the outsourcing of HR business processes in China and other countries in Asia.
  • managing and advising on a global data protection compliance project for the client's human resources business function;
• Advising one of the world's largest insurers on a significant transformational outsourcing and business process restructuring project to put in place five separate service agreements with a number of suppliers for the provision of insurance administration services to and from the UK, United States, Kuala Lumpar, the Philippines and India.
• Advising one of the world's largest insurers on the outsourcing of the facilities management outsourcing of a broad range of office services in relation to all its offices in the UK to a major UK supplier.
• Advising the US arm of one of the world's largest insurers on the outsourcing of its UK hosting and data warehousing functions to a major global supplier.
• Advising a major international bank on the global outsourcing to a global supplier of the administration, support and maintenance of a global banking administration platform.
• Advising a leading investment management group on a business transformation outsourcing deal to transfer the “middle office” institutional administration function of its £41.7 billion business to a US investment bank.
• Advising another major investment management group on the outsourcing of its £3.5 billion fund administration and accounting business to a leading Canadian bank,
• Advising a major French investment bank on the business process outsourcing of a leading Dutch investment bank's cash equities clearing and settlement business and the development of a Treasury and Cash Management IT system.
