Francesca Crisera’s practice focuses on corporate and intellectual property (IP) matters. Francesca advises public and private companies in a broad range of transactional matters, both domestic and international, including mergers, dispositions and acquisitions, commercial contract issues, data privacy, trademark counseling and prosecution, copyright, licensing and media/entertainment. Additionally, Francesca conducts IP due diligence in connection with equity investments, mergers, acquisitions and dispositions. Francesca also advises clients on general business matters.
Francesca also has experience in the life sciences field including advising public and private pharmaceutical manufacturers in connection with the preparation and negotiation of clinical trial agreements and related consulting and services agreements.
Her student note titled “Federal Regulation of Embryonic Stem Cells: Can the Government Do It? An Examination of Potential Regulation through the Eyes of California’s Recent Legislation” was published in the Spring 2004 edition of the Hastings Constitutional Law Quarterly of the University of California, Hastings.
Representative Experience
- Advising an aerospace and defense company in a US$375 million acquisition of a guidance and navigation systems company and in the disposition of a wholly-owned subsidiary.
- Assisting an owner-operator of theme parks in acquisitions totaling more than US$1 billion.
- Drafting and negotiating commercial agreements including agreements related to e-commerce transactions, license agreements, development agreements, supply agreements, consulting agreements and master services agreements.
- Advising clients on and effecting transfers of international intellectual property portfolios in connection with dispositions and reorganizations.
- Advising on matters regarding data protection and privacy including preparing website terms of use and privacy policies.
