Corey W. Duersch

Corey W. Duersch focuses his practice on general corporate matters including mergers and acquisitions, federal and state securities law compliance, capital markets and commercial finance transactions, commercial contracts, private equity and venture capital investment, and corporate governance matters for publicly and privately held companies in a broad array of industries. Corey also has experience in federal and state regulatory matters affecting financial institutions and in the acquisition of financial institutions (in both FDIC-assisted and non-assisted transactions).
Prior to joining Squire Sanders, Corey was an associate in the corporate and securities practice of a large Ohio-based firm. He was also an extern for The Honorable S. Arthur Spiegel of the United States District Court, Southern District of Ohio and a law clerk for The Honorable Charles L. Pater of the Common Pleas Court of Butler County in Hamilton, Ohio.
Corey is co-author of “Emerging Developments in Hedge Fund Law,” published in the Cincinnati Business Courier in 2007. Corey is a member of the Cincinnati, Ohio State and American Bar Associations.
Representative Experience

Providing counsel to financial institutions in developing hybrid trust preferred securities programs, bank note programs, medium-term note programs and commercial paper programs totaling more than US$1 billion.

Providing counsel in a leading bank holding company’s public offering of US$1.8 billion of common stock and convertible preferred stock.

Providing counsel in the structured financing of a US$120 million portfolio of commercial real estate loans.

Providing counsel in a US$10 million acquisition of 100 percent of the stock of two manufacturing companies owned by a single shareholder.

Providing counsel to mutual fund investment advisers and boards of trustees regarding organization and registration, proxy solicitations and ongoing SEC compliance issues.
