Our transactional experience covers the entire range of financial transactions and structures in both the primary and secondary markets. We act for lenders and borrowers and advise on all aspects of financings, re-financings and restructurings, whether involving straightforward capital lines or complex multi-jurisdictional or multi-party arrangements.
Our “one-firm firm” practice model enables us to serve our clients throughout the life of any financing, from a project’s inception to its re-financing in advance of corporate disposition or flotation and, if necessary, through its subsequent workout or, in conjunction with our restructuring and insolvency practice, insolvency or secured party disposition.

Syndicated Lending
We have extensive experience in representing agents, lenders and borrowers on all aspects of syndicated lending, including structuring and documentation, collateral security, syndicate governance, intra-syndicate disputes, market documentation standards, secondary trading and enforcement.
Asset-Based Lending (ABL) and Trade Finance
We are one of the few legal practices that genuinely offers unified cross-border ABL and trade finance expertise with lawyers located throughout the Americas, Europe and Asia. Our lawyers have been advising lenders, borrowers, multilateral finance organizations and export trade agencies in the specialized asset-based and trade finance markets for more than 25 years. These assignments regularly include not only transaction execution but also advising lenders and borrowers in connection with exiting troubled ABL credits and trade finance facilities, as well as cross-border security structures.
Acquisition and Leveraged Capital Finance
Working closely with our corporate, M&A and tax practices, we regularly act as counsel to agents, lenders and borrowers on a wide array of domestic and cross-border acquisition financing transactions involving strategic buyer, private equity investors and funds, for both new acquisitions and post-acquisition recapitalizations.
Private Note Placements We have represented private placement noteholder groups as well as issuers in numerous transactions. We also regularly represent distressed debt purchasers in workouts and insolvencies on private note placements.
Specialized Finance
Our global platform affords us expertise in specialized industries, such as healthcare, renewable energy, oil and gas, chemicals, transportation/shipping, metals, mining, aviation, communications and insurance. We act for lenders and borrowers, multilateral finance institutions and export credit agencies, and can advise on the financing of domestic and cross-border acquisitions of infrastructure assets and their subsequent re-financings.
We have substantial experience advising on increasingly important ancillary areas affecting corporate credit facilities such as derivatives, international tax, lender liability, fraudulent conveyance, environmental liability, employee benefits, set-off, anti-deprivation rules, security trustee issues, government contracts and financial regulation.
In addition to our recognized expertise in the primary markets, we also advise clients in the secondary markets in connection with the sale and purchase of individual loans and entire loan portfolios, including performing and non-performing commercial, real estate and other loan types.
