Avinash (Avi) Ganatra has extensive experience in US and cross-border capital markets, securities and leveraged finance transactions. Avi represents US and multinational companies, investment banks, financial institutions and finance companies in equity and debt capital markets transactions including initial public offerings, Rule 144A / Regulation S high-yield debt offerings, shelf offerings, private placements and debt tender offers and consent solicitations. Avi has extensive experience in leveraged finance transactions and represents lenders and borrowers in secured and unsecured lending transactions. He advises banks on corporate issues relating to complex restructuring matters and multinational companies on cross-border mergers and acquisitions and securities law matters.

Avi advises corporate and institutional clients on the regulatory requirements of the Securities Act of 1933 and Securities Exchange Act of 1934, including periodic reporting requirements under the Exchange Act. He counsels clients on internal controls and corporate governance requirements and on the structuring of comprehensive internal compliance programs.

Avi created The Irreverent Indenture©, an animated multimedia presentation that teaches the intricacies of debt covenants and leveraged finance concepts. He has conducted several successful workshops featuring The Irreverent Indenture for financial institutions and companies in New York, London and Amsterdam.

Avi was a founding member and first president of the South Asian Bar Association of New York and continues to be very active in building bridges with the South Asian business communities in New York and India.

    • Representing one of the largest US-based integrated steel producers in a US$460 million initial public offering of common stock.
    • Representing a global provider of document technology, services and software in a US$1.25 billion shelf takedown of common stock, senior notes and mandatory convertible preferred stock.

    Debt Capital Markets, Leveraged Finance and Restructuring Transactions
    • Representing the initial purchasers/underwriters in several high-yield debt transactions under Rule 144A and Regulation S.
    • Representing the second largest Germany-based bank in working out a portfolio of US$350 million in distressed loans secured by thousands of US residential mortgages.
    • Representing The Nasdaq Stock Market, Inc. in a US$125 million offering of senior notes.
    • Representing a leading US-based publisher of magazines in a US$325 million syndicated secured bank credit facility transaction.
    • Representing a leading US-based provider of mortgage and consumer loan processing services in a US$375 million offering of senior notes and related syndicated bank credit facilities.
    • Representing one of the largest property and casualty insurers in the United States in a US$500 million offering of senior notes.
    • Representing a leading movie theater and entertainment company in several high-yield offerings that raised more than US$500 million and related syndicated bank credit facilities.
    • Representing a global manufacturer and marketer of differentiated chemicals and its US and international subsidiaries in several complex high-yield offerings that raised more than US$3 billion in proceeds, and in complicated equity and debt restructuring transactions.
    • Representing a global provider of document technology, services and software in a US$600 million and €225 million offering of senior notes.
