Andrew Watson

Andrew is a partner in our Banking and Financial Services department and specialises in Asset Based Lending. Andrew works primarily out of our London office. His particular expertise covers the drafting of receivables financing and asset based lending facility and security documentation, cross border financing and security arrangements, product development, portfolio transfers and acquisitions within the asset based lending arena.

Andrew has specialised in Asset Based Lending for over 20 years and is widely acknowledged as one of the leading lawyers in this field. Andrew's clients include UK clearing Banks and their subsidiaries, independent specialist financiers, US and European asset based lenders. He is regularly invited to speak at UK, European and US industry conferences and also undertakes training courses for clients in-house, for the UK Asset Based Finance Association and for the US Commercial Finance Association.

Representative Experience

    • Acting for the lead arranger on a £150,000,000 syndicated refinancing of major UK and European transport group involving receivables financing, inventory, plant and machinery and property loans for the group and certain of its overseas affiliates.
    • Drafting of a complete suite of bespoke financing documentation for a division of a UK Bank entering the asset based lending market. The facilities to be provided included receivables financing, loans against inventory, plant and machinery, real estate as well as cashflow loans.
    • Advising a supply chain financier in relation to its syndication of existing facilities provided to US and European companies involving assets located in other European jurisdictions.
    • Advising the purchaser on the acquisition of the UK receivables financing portfolio of GMAC Commercial Finance.
    • Advising a UK asset based lender in relation to syndicated receivables and property loan facilities to a group of UK and European companies.
    • Transfer of the entire portfolio of a UK based receivables financing company to a third party supported by back office and ongoing client management assistance agreements.
    • Advising a supply chain financier in relation to a reorganisation and restatement of existing facilities and their subsequent syndication.
    • Advising a subsidiary of a UK clearing Bank in relation to the provision of a £140,000,000 off balance sheet facility to a "household name" UK PLC.
