Anna Manyatkina focuses her practice on mergers, acquisitions and private equity matters. She has nearly 10 years of experience advising Russian and international clients on Russian corporate, regulatory and securities law issues.
Anna regularly counsels private equity and strategic investors on investments in a variety of industry sectors including consumer goods, food and beverage, manufacturing, financial services and pharmaceuticals. She also advises clients on M&A transactions and joint ventures including related structuring, antimonopoly and corporate governance issues.
Anna has led numerous due diligences of large and mid-sized groups of companies in various sectors. She also has significant experience in dealing with Russian governmental authorities.
Anna is a frequent speaker at Russian M&A and private equity conferences and has published several articles on these topics. She is a co-author of the PLC Corporate Governance and Directors’ Duties Handbook 2008/09, published by Practical Law Company.

- Advising Troika Dialog in purchasing a large steel manufacturer with operations in Central and Eastern Europe, Ukraine and Russia.
- Advising Troika Capital Partners in a series of private equity investments in the retail and consumer products sector.
- Advising Mint Capital in a series of private equity investments including its investments into Verysell and A-Dept.
- Advising Moore Capital, one of the world’s top five hedge funds with more than US$18 billion under management, in a US$50 million investment in RosEvroDevelopment, Russia’s leading national real estate developer and a minority investment in Lenta, a Russia-based retail chain.
- Advising Maxisport/R-Fitness, a leading fitness chain, on its merger with World Class, another leading Russian fitness chain co-owned by Alfa Capital Partners, a leading Russian private equity fund.
- Advising Inmarko, Russia’s leading ice cream manufacturer, and its investors including EBRD and NORUM, on its sale to Unilever.
- Advising Global One/Equant in a US$40 million acquisition of a 49-percent interest in two Russian joint venture companies and related shareholders agreements.
- Advising Investtorgbank in its US$220 million private placement and negotiations of the related shareholders agreement.
- Advising Bunge Limited, a NYSE-listed company and one of the world's largest food and grain producers, in the following transactions:
- US$30 million acquisition of a sunflower oil crushing plant in Belgorod Oblast;
- US$5 million acquisition of a grain elevator and flat storage facility in Voronezh oblast;
- US$35 million acquisition of a blocking stake in a leading Russian oil and fats processor, and related shareholders agreement.
- Advising sellers in the US$71 million disposition of the O3 and Chudo Doctor pharmacy chains.
- Advising ICN Pharmaceuticals (now Valeant Pharmaceuticals) in its US$55 million disposal of its Russian pharmaceuticals production and retail business including five factories and more than 100 retail outlets across Russia.
- Advising the shareholders of Kama Paper and Pulp Mill in their US$15 million disposition of shares.
- Advising a leader in precision technology for innovative solutions in the health care, life sciences and consumer electronic products industries in divestiture and the transfer of a diagnostic systems business to a NYSE-listed leading developer, manufacturer and marketer of products to simplify and automate complex biomedical tests.
- Advising RAO UES on the US$1.8 billion share swap for OGK-5 and the US$263 million share swap for TGK-6, two of the national wholesale power companies created through a merger of a number of existing regional electricity generation and distribution companies, in the context of the reform of RAO UES's reform of the power sector.
