Anna A. Grozovskaya

Senior Associate

Anna Grozovskaya focuses her practice on intellectual property matters such as patents, trademarks, utility models and industrial designs. She advises clients on various issues relating to the registration, use and protection of intellectual property in the Russian Federation; represents the clients at the courts. Ms. Grozovskaya performs due diligence on companies, their businesses and intellectual property, drafts licensing and sublicensing agreements and assignment agreements in respect of intellectual property, and reviews client-drafted agreements, contracts and other documents related to the IP rights and transfer of the same.

Ms. Grozovskaya also specializes in corporate and business law, investment and general corporate matters, securities and commercial transactions in the Russian Federation.

Ms. Grozovskaya has assisted in the drafting of legal documents for startup companies, both fully Russian-owned (including institutional lenders) and with foreign investments, in connection with issuance of shares, drafted share purchase agreements, shareholders’ agreements and subscription agreements. She has advised clients on specific legal matters in connection with antimonopoly regulations, corporate issues, customs and tax issues, including those applicable to companies with foreign interests.

Representative Experience

    • Participation in a project involving representation of a major food company in connection with the sale of its Russian business; performing due diligence on its business and intellectual property; drafting and negotiating transaction documents; drafting the documents assigning the client’s intellectual property to the buyer;
    • Representing the client - large Russian pharmaceutical company - regarding violation of its copyrights for the trademarks;
    • Advising a large transnational corporation on the structuring and implementing an entry strategy for the Russian market, including the formation of a joint venture to produce edible oil, acquisition of a number of grain storage facilities and oil extracting factories, as well as on the matters of using and licensing the client’s intellectual property;
    • Advising a baby food manufacturer on the matters of restrictions on advertising, marketing and promoting goods in the Russian market;
    • Performing due diligence on the business of a major poultry producer in preparation to the sale of a member company;
    • Advising a major transnational corporation in connection with the sale of its diagnostic business in Russia.
