• Serving as lead counsel for a Parlux Fragrances and its Board of Directors in Dias v. Parlux Fragrances, Inc., Civil Action No. 7199-VCG, joined by plaintiff in a related action, Anderson v. Parlux Fragrances, Inc., et al., Civil Action No. 7305-VCP in Chancery Court in Delaware, a securities and shareholder class action challenging a merger between Parlux and its principal customer, Perfumania. Successfully dismissed with minor amendments to the company’s S-4 Registration Statement.
• Serving as lead counsel for Parlux Fragrances and its Board of Directors in Weill v. Parlux Fragrances, Inc., Case No. 2012-CV-35008-07, Circuit Court of the Seventeenth Judicial Circuit in and for Broward County, Florida, a securities and shareholder class action challenging a merger between that company and its principal customer, Perfumania. Secured voluntary dismissal of a number of the directors and executives. The court refused to enjoin Parlux’s merger with Perfumania Holdings.
• Serving as lead counsel for Parlux Fragrances and its Board of Directors in International Bonded Warehouse v. Parlux Fragrances, Inc., Case No. 11-CV-61364-WPD, US District Court, Southern District of Florida, a shareholder lawsuit.
• Serving as lead counsel for Parlux Fragrances and its Board of Directors in In Re Parlux Fragrances, Inc., Case No. CACE 06-008854 (14), a shareholder lawsuit. 
• Serving as lead counsel for Parlux Fragrances and its Board of Directors in Brad Bogue v. Parlux, Case No. 06-61333-CIV-HUCK, in shareholder lawsuit.
• Serving as lead counsel for Parlux Fragrances and its Board of Directors in Victory International (USA) LLC v. Perry Ellis International, Inc., et al, Case No. 08-20395-CIV-HUCK, a shareholder lawsuit.
• Serving as lead counsel for Parlux Fragrances and its Board of Directors in Mark W. Byers v. Parlux Fragrances, inc. et al, Case No. 06-612304-CIV-HUCK, US District Court, Southern District of Florida, a shareholder lawsuit.
• Serving as lead counsel for Parlux Fragrances and its Board of Directors in Glenn Hutton v. Ilia Lekach, Case No. 06-008925, Broward County, Florida, Defending company and its board of directors in a shareholder class action relating to the proposed buyout of the company. 
• Serving as lead counsel for Parlux Fragrances and its Board of Directors in Macatee Family Limited Partnership v. Ili Lekach, Case No. 03-28436-CA-31, Dade County, Florida, in a shareholder derivative action alleging breaches of fiduciary duties arising from personal loans to directors, executive compensation, and re-purchasing of common stock. 
• Serving as company counsel for the independent directors committee of Florida Power & Light (FPL) and its Board of Directors in an investigation of a $900 million write-off of a diversification plan attacked and subsequent shareholders derivative securities claims in In re FPL Group Consolidated Litigation, Case No. 90-8641, US District Court, Southern District of Florida 
• Serving as lead counsel to a bank holding company and its officers in a securities class action arising out of provisions to loan loss reserves required by OCC in In re Southeast Banking Corp. Securities Litigation, US District Court, Southern District of Florida, Master File No. 90-0760. 
• Serving as trial counsel to Computershare Trust Company, a stock transfer agent, in Blackburn v. Computershare Trust Company, N.A., US District Court, Southern District Florida, Case No. 09-61569, a shareholder lawsuit, alleging forged stock-transfer documents and lack of compliance with industry standards.
• Served as counsel to the outside directors in multidistrict litigation, In re Adelphia Communications Corp. Securities & Derivative Litigation, Case No. 03 MD 1529 (JMF), US District Court, Southern District of New York, arising out of the collapse of Adelphia Communications. Defended seven separate shareholder and bondholder claims. 
• Acting as a private mediator instrumental in designing and structuring several successful settlements of large class action securities cases in federal court and coordinating the settlement effort. 

Other Experience

• Serving as lead appellate counsel in two cases before the Florida Supreme Court on behalf of the state’s largest utility supporting two decisions by the Public Service Commission in favor of the utility.
• Serving as lead trial and appellate counsel for the Republic of Ecuador in litigation in Miami to recover tens of millions of dollars in funds embezzled from the Republic’s principal bank.
• Serving as lead Florida counsel in multistate Clean Air Act litigation against the Environmental Protection Agency in the United States Circuit Court for the District of Columbia Circuit, relating to amendment on pollution limitations.
• Serving as lead trial and appellate counsel in the representation of a Dominican Republic-based manufacturer to recover funds taken in fraudulent currency exchange transactions.
• Serving as co-lead counsel in an arbitration proceeding involving ownership interests in geothermal generation facilities and defects in the related generation equipment for the government of El Salvador.
• Serving as lead trial and appellate counsel in a dispute over the calculation of millions of dollars of annual franchise fees to be paid by a utility to a county government.
• Serving as national lead trial counsel in defense of a medical products manufacturer regarding an implantable medical device.
• Serving as lead counsel for a major Florida utility company before the Florida Supreme Court in a dispute involving attempts by the Florida Public Service Commission to deregulate the wholesale power market.
• Defending successfully a major paint product manufacturer in a seven-week federal trial for the breach of a distributorship agreement.
• Serving as lead counsel for one of the country’s largest daily newspapers in successful enforcement of Florida’s Public Records Act against the construction manager of a massive airport renovation project.
• Serving as lead counsel for airline insurers in successful defense of pollution claims at Miami International Airport.
• Serving as regional lead trial counsel in a series of complex medical product liability lawsuits at trial and appellate levels.
• Serving as lead counsel for a major US-based airline in a US$4.6 billion dispute over redevelopment of Miami International Airport.
• Serving as lead counsel for a major Florida utility company in a series of electronic and magnetic field (EMF) cases alleging that the utility’s power lines caused cancer.
• Serving as lead counsel at trial and appellate levels in a Florida county’s effort to impose a privilege fee on utility facilities declared unconstitutional.
• Defending successfully a large bank against claims of misappropriation of intellectual property and theft of trade secrets in a federal court jury trial.
• Defending successfully a New York bank renovating a Miami commercial property it had foreclosed upon against claims of constructive eviction and breach of covenants.
• Serving as lead counsel for clients including an international vehicle rental company and major Florida utility in several significant antitrust cases dealing with a wide range of federal and state antitrust and unfair trade practice issues.
• Regularly arguing federal and appellate court appeals including appeals from bankruptcy rulings.
• Serving as lead appellate counsel in a series of appeals pertaining to tobacco litigation.
