Abby Brown focuses her practice on general corporate and securities matters with an emphasis on financial services and government contracting industry clients. She has experience with initial and other public offerings, serving as both issuers’ and underwriters’ counsel, mergers and acquisitions, and drafting corporate documents. She has also worked with a number of clients on compliance with periodic reporting requirements under the Securities Exchange Act of 1934.
Prior to joining Squire Sanders, Abby was a corporate associate with a Washington DC-based corporate, securities, regulatory and financial transactions firm.
Abby is a member of the North Carolina and District of Columbia Bar Associations.

Corporate Finance

Representing the US Department of Treasury in connection with its TARP Capital Purchase Program and in making several hundred investments in US financial institutions since October 2008.

Advising a public government contracting firm in its warrant retirement program, pursuant to which more than 90 percent of outstanding warrants were tendered.

Representing an underwriter in a second-step transaction in which a bank converted from the mutual holding company form of organization to a fully stock holding company structure, raising net proceeds of US$53 million.

Representing an underwriter in a first-step transaction in which a state savings bank converted to a federally chartered bank and offered 45 percent of its ownership to the public and purchased 55 percent of the common stock through its mutual holding company.

Representing a US$2 billion stock savings bank in forming a no-stock mutual holding company and stock holding company.

Advising an insurance group on the simultaneous purchase of four insurance agencies through a series of stock and asset purchase agreements.

Representing a stock bank in the mutual holding company structure during its second-step transaction that included converting to a fully stock holding company structure.

Representing a public government contracting firm in its acquisitions of two private companies for US$36 million and US$16.6 million.

Advising a private hardware, software and online services firm in its acquisition by a public company.
